Terms of Service

01 Acceptance of Terms

These Terms of Service ("Terms") govern your use of the services provided by Mokoena Fortified Holdings (Pty) Ltd ("MFH", "we", "us"). By requesting a quote, placing an order, or making payment, you ("Client", "you") agree to these Terms in full.

If you do not agree to these Terms, do not proceed with any order or payment. These Terms apply to all services including company registration, certificates, graphic design, and website development.

02 Our Services

MFH provides the following services:

• Company Registration: CIPC registration of private companies, name reservations, and related filings
• Compliance Certificates: Tax clearance, B-BBEE affidavits, annual returns, share certificates, and trademark assistance
• Graphic Design: Logo design, corporate identity, stationery, and marketing material design
• Website Development: Design, development, and management of websites for small and medium businesses

All services are subject to availability. We reserve the right to decline any order at our discretion, with a full refund of any amounts paid.

03 Quotations and Orders

All quotations are valid for 14 calendar days from the date of issue. Quoted prices are fixed for the scope described. Any changes to scope after confirmation may result in additional charges, which will be communicated and agreed upon before proceeding.

An order is confirmed when you provide written acceptance (WhatsApp, email, or signed quote) and the required deposit or full payment has been received. Work commences only after payment confirmation.

04 Payment Terms

• A 50% deposit is required to commence all design and website projects
• Company registration and certificate services require full payment upfront
• The remaining balance for design and website projects is due upon completion, before final file delivery
• Monthly website management plans are billed in advance on the 1st of each month
• Overdue accounts may attract a late payment fee of 2% per month on the outstanding balance
• MFH reserves the right to suspend services on accounts overdue by more than 14 days

All prices are quoted in South African Rand (ZAR). Prices are inclusive of VAT where applicable.

05 Client Responsibilities

To enable timely delivery of services, you agree to:

• Provide accurate, complete, and truthful information required for your order
• Supply all required documents for company registration (certified IDs, proof of address, etc.) promptly
• Respond to review requests, proofs, and approvals within 3 business days
• Ensure all content supplied (text, images, logos) does not infringe third-party intellectual property rights
• Provide timely feedback during the design or development process

MFH is not liable for delays caused by late client responses, incomplete information, or regulatory delays at CIPC or SARS.

06 Delivery and Timelines

Estimated turnaround times are as follows:

• Company registration (Starter): 3–5 business days (subject to CIPC processing)
• Company registration (Professional/Suite): 1–3 business days
• Compliance certificates: 2–7 business days depending on certificate type
• Logo design: 48 hours for initial concepts
• Brand packages: 3–5 business days
• Website projects: 7–21 business days depending on complexity

All timelines are estimates and may be affected by client response times, public holidays, or third-party processing at CIPC/SARS. MFH will communicate any delays promptly.

07 Intellectual Property

Design services

Upon receipt of final payment, full ownership of the approved final design is transferred to you. MFH retains the right to display the work in our portfolio unless you request otherwise in writing.

Preliminary concepts, rejected designs, and working files remain the property of MFH unless specifically included in your package or purchased separately.

Website development

Upon final payment, you own the website content and design. Licences for third-party plugins, themes, or stock assets remain subject to their respective licence agreements. MFH retains rights to any proprietary code frameworks or tools used in development.

Your content

You warrant that all content, images, and materials you supply to MFH are lawfully owned or licenced by you, and you indemnify MFH against any third-party intellectual property claims arising from materials you provide.

08 Confidentiality

MFH treats all client information as strictly confidential. We will not disclose your personal or business information to any third party except as required to deliver your services (e.g. CIPC, SARS) or as required by law. See our Privacy Policy for full details.

09 Limitation of Liability

MFH's total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

MFH is not liable for:

• Delays or rejections caused by CIPC, SARS, or other regulatory bodies
• Losses arising from inaccurate information provided by the client
• Website downtime caused by third-party hosting providers
• Indirect, consequential, or loss-of-profit damages of any kind

10 Termination

Either party may terminate a service agreement with 30 days' written notice. In the event of termination:

• Work completed to date will be invoiced and payable
• Deposits are non-refundable once work has commenced (see our Refund Policy)
• MFH will deliver all completed work and assets to you upon receipt of outstanding payment
• Monthly management plans may be cancelled at month-end with 30 days' notice

11 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of South Africa. Both parties agree to attempt to resolve disputes amicably before initiating legal proceedings.
